1. Introduction
Welcome to Juliet Morningstar's VTuber model illustration service. By commissioning Juliet Morningstar, you agree to the following Terms of Service. These terms are designed to ensure a smooth and professional working relationship. Please read them carefully.

2. Acceptance of Terms
The client (you) is responsible for reviewing the Terms of Service (TOS) before entering into a Commission Agreement with Juliet Morningstar (Juliet). By commissioning Juliet, it is assumed that you are fully aware of and consent to all TOS.

3. Scope of Service
• Service Provided: Juliet Morningstar provides custom VTuber model illustrations delivered in PSD format, ready for rigging by a separate rigger.
• Deliverables: The final product includes a layered PSD file with all necessary elements for the model as per the initial agreement.

💮 ◦ ◦ ◦ 4. Commission Process ◦ ◦ ◦ 💮
The commission process is outlined in the following steps:

1. Commission Inquiry:
o Client: Provide a reference sheet and detailed description of the desired model or add-on for an existing model.
o Juliet Morningstar: Provide a cost quote based on the client's requirements.

2. Waitlist:
o Juliet Morningstar: If slots are not immediately available, the client will be placed on a waitlist after accepting the price quote. The waitlist is not first come, first serve.

3. Agreement and Initial Payment:
o Client: Once a slot becomes available, sign the commission agreement and pay a 25% non-refundable deposit to secure the slot.
o Juliet Morningstar: Confirm the commission slot and provide an estimated starting date.

4. Sketches and Work-in-Progress (WIP):
o Juliet Morningstar: Begin work on initial sketches and WIP updates.
o Client: Provide feedback or acceptance of the sketches. A total of 3 revisions is possible during this stage.

5. Further Payment and Rendering:
o Client: Pay 25% of the total price after approval of sketches.
o Juliet Morningstar: Proceed with rendering of the model.

6. Final Delivery:
o Juliet Morningstar: Deliver a screenshot of the rendered model and, upon receipt of the remaining 50% payment, deliver the final PSD file. Only minor fixes are possible after delivery; further changes will require additional payment.

💮 ◦ ◦ ◦ 5. Payment Terms ◦ ◦ ◦ 💮

• Pricing: All prices are determined based on the complexity and requirements of the commission. A pricequote will be individually provided - pricing is not negotiable. Pricequotes are up for change until a slot has been claimed with paying the invoice for the deposit.
• Deposit: A non-refundable deposit of 25% is required upfront to secure the commission slot.
• Final Payment: The remaining balance is due upon completion of the artwork and before the final PSD file is delivered.
• Payment Methods: Payments are accepted in US dollars (USD) via PayPal invoicing services. The client may not involve a third-party payment account.
• Payment Schedule: The client must pay invoices within 48 hours of issue unless otherwise discussed. If the client is unable to pay in time, work will be delayed if information is given in time before the next step. If the work is done and the client is not able to pay there will be a late fee calculated on the sum and time of delay.

💮 ◦ ◦ ◦ 6. Revisions and Feedback ◦ ◦ ◦ 💮

• Initial Sketch: Clients will receive an initial sketch for approval. This is the stage where major revisions can be requested. Maximum of 3 revision rounds.
• Minor Revisions: Up to three minor revisions are included in the commission fee after the initial sketch is approved.
• Additional Revisions: Additional revisions beyond the included amount will incur extra charges, which will be discussed and agreed upon prior to implementation.

💮 ◦ ◦ ◦ 7. Client Responsibilities ◦ ◦ ◦ 💮

• Clear Communication: Clients must provide clear and detailed descriptions of their requirements and any reference materials necessary for the commission.If any references change after the initial sketch, get delivered late, or items need to be added/changed from the original design - an additional fee will be applied to the original quote.
• Timely Feedback: Clients are expected to provide timely feedback during the revision stages to ensure the project progresses smoothly.
• Communication: The client must remain communicative. If the client remains uncommunicative for more than 14 days, the commission might be pushed back to a later slot. If there is further no communication, the Commission Agreement may be terminated.

💮 ◦ ◦ ◦ 8. Artist's Rights and Responsibilities ◦ ◦ ◦ 💮

• Creative Integrity: Juliet Morningstar retains the right to decline any commission that is deemed inappropriate or outside the scope of her expertise.
• Portfolio Use: Juliet Morningstar reserves the right to use the commissioned artwork in her portfolio, social media, and other promotional materials, unless otherwise agreed upon.
• Confidentiality: Juliet Morningstar will not disclose any confidential information provided by the client without prior consent.

💮 ◦ ◦ ◦ 9. Cancellation and Refund Policy ◦ ◦ ◦ 💮

• Client-Initiated Cancellation: If the client cancels the commission after the deposit is paid, the deposit is non-refundable. No cancellations once sketching has begun, except in exceptional cases which might include a cancellation fee. If the client wishes to cancel prior to sketching, the client forfeits the slot reservation fee.
• Artist-Initiated Cancellation: If Juliet Morningstar must cancel the commission due to unforeseen circumstances, a full refund will be provided to the client.
• Chargebacks: In the event of an illegitimate chargeback filed against Juliet, the client forfeits all rights and ownership pertaining to the commission. Juliet is free to use, modify, or resell any part of the commission unless the chargeback dispute is reversed.

💮 ◦ ◦ ◦ 10. Delivery ◦ ◦ ◦ 💮

• Final Delivery: The final PSD file will be delivered digitally upon receipt of the final payment.
• File Format: The deliverable will be a PSD file, which includes all layers and elements as agreed upon during the initial discussion.
• Minor Fixes: Only minor fixes are possible after delivery; further changes will require additional payment.
• Necessary Modifications: Minor fixes requested from the rigger are included in the commission fee. If Juliet Morningstar is not able to provide the agreed upon minor updates for the rigger, a refund of up to $50 is possible, including the permission to get the missing fixes done by the rigger or a different artist.
Please note: Additional cutting of the model that hasn't been communicated before may be charged extra.

 

💮 ◦ ◦ ◦ 11. Usage Rights and Restrictions ◦ ◦ ◦ 💮

• Commercial Use: The model can be used for commercial streaming/vtubing purposes. Any other commercial use of the model art must be discussed and will incur a separate commission fee. Especially using any part of the model art for merchandise must be previously agreed upon and includes a commercial fee.
• Resale and Modification: The client may not resell any models created by Juliet Morningstar unless express permission is granted. Any new owner needs permission as well to sell or gift the model. Any changes to the model or add-ons by another artist require permission from Juliet Morningstar.Using Juliet Morningstars modelart in giveaways or auctions of any kind is forbidden. Breaking these rules will revoke the commercial license to use the model for streaming/vtubing purposes until cleared up with Juliet Morningstar.
• Age Requirement: The client must be at least 18 years old and legally eligible to enter into a Commission Agreement with Juliet.
• Non-Replicable Work: Juliet will not replicate or imitate works of other artists, work on AI-generated works, or create content that is offensive, political, discriminatory, or already copyrighted intellectual property (IP).
• Usage Restrictions: The client may not trace any part of the original commission files, use the commission to generate derivatives using AI software, distribute, sell, or reproduce any part of the original commission files.
 

💮 ◦ ◦ ◦ 12. Rush Commissions ◦ ◦ ◦ 💮

• Regular Commission Slots: Regular commission slots have no deadline, only estimated working times. The customer will be updated via the public Trello board about the status of their commission and sent updates on the progress when work has been done. Model commissions usually take 2-3 months but may be affected by delays due to personal reasons or health issues. Any delays will be communicated as early as possible.• Rush Commissions: Rush commissions can be placed and include an express fee. This is 2x the original commission price. These can have a deadline of a minimum of 3 months, in exceptional cases less if discussed previously. In case that a rush commission can't be fulfilled, Juliet Morningstar or her management will inform the client as early as possible and issue a full refund, including the reservation fee.
 
Rush Commissions have priority over regular commissions.

💮 ◦ ◦ ◦ 13. Limitation of Liability ◦ ◦ ◦ 💮

• Liability: Juliet Morningstar is not liable for any damages or losses resulting from the use or misuse of the commissioned artwork.
• Disputes: Any disputes arising from the commission will be addressed through direct communication between Juliet Morningstar's management and the client. If a resolution cannot be reached, [preferred dispute resolution method, e.g., mediation, arbitration] will be pursued.

By commissioning Juliet Morningstar, the client acknowledges that they have read, understood, and agreed to these Terms of Service.
